Position Summary
Under general supervision and according to established policies and
procedures provides legal/general support to the attorneys. Must be
familiar with and observe established policies and guidelines. Must
maintain positive contact with attorneys (both the company's and
outside counsel), support staff, and vendors. Observes
confidentiality of all matters. This position is not limited to the
functions and skills listed on this description and
responsibilities may be revised as needed.
Job Duties and Responsibilities
Experience forming corporations, LLCs, and limited partnerships,
including drafting formation documents, bylaws, organizational
minutes, and obtaining EINs.
Experience in corporate due diligence.
Skilled in preparing and filing corporate documents and UCC
financing statements.
Ability to manage multiple entities, minute books, and corporate
records.
Experience drafting board and shareholder resolutions.
Preparation of documents for transactional closings, including
secretary/officer certificates, closing agendas, and obtaining good
standing certificates and certified charter documents.
Ability to draft basic corporate documents, agreements, and prepare
closing checklists.
Experience with qualifications, mergers, conversions, dissolutions,
and withdrawals, including jurisdiction-specific document
preparation and statute review.
Experience conducting lien and judgment searches, determining
appropriate search locations, and summarizing results.
Familiarity with blue sky research, SEC access codes, Form D
preparation, and state securities filings.
Knowledge of M&A, public securities laws ('33 Act, '34 Act),
venture capital, and/or private equity placements is a plus.
Highly motivated, self-starter with strong organizational, writing,
and proofreading skills.
Ability to work independently, meet deadlines, and collaborate
effectively with attorneys, staff, and colleagues.

Requirements
Education: Undergraduate degree and paralegal certificate required;
will consider candidate with comparable relevant experience in lieu
of a paralegal certificate.
Experience: Paralegal with at least 10+ years of corporate &
securities experience, preferably with a law firm.
Skills: Excellent verbal and written communication skills as well
as the ability to work with individuals at all organizational
levels. Ability to organize and prioritize issues and workload. The
ability to work on projects independently or with little
supervision. Flexibility and ability to adapt to constantly
changing priorities. Exercising independent judgment and
initiative.

Equipment To Be Used: Personal computer and other office equipment
such as telephone, calculator, fax, machine, copier, scanner,
etc.
Essential Job Functions:
Working Conditions: You will be required to work in the office at
minimum 3 days per week. Occasionally called upon to work hours in
excess of your normal daily schedule. The details of your weekly
schedule will be discussed further with your direct supervisor.
Pay Ranges:
This represents the presently-anticipated low and high end of Reed
Smith's pay range for this position. Actual pay may vary based on
various factors, including but not limited to location and
experience.
Atlanta: $52.66-$71.15 per hour
